These Terms of Service ("Terms") are a binding agreement between you and Agent Felix ("Agent Felix," "Felix," "we," "us," or "our") governing your access to and use of our website, applications, and AI-powered customer-service and business-operations platform (collectively, the "Services").
By creating an account, connecting a third-party service, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Services.
Felix connects, with your authorization, to third-party services you use — such as your email provider, e-commerce store, and analytics and advertising accounts — and uses artificial intelligence to classify messages, draft and send replies you authorize, resolve customer-service tickets, coordinate tasks, and produce reports and analyses.
You control the level of autonomy Felix has. By default, actions that send communications or make changes on your behalf are presented for your review and approval before they are executed. You are responsible for the configuration you choose.
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate account information and to keep it current.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@agentfelix.ai if you suspect unauthorized use.
The Services let you connect accounts operated by third parties (for example, Google, Microsoft, Shopify, WooCommerce, and Meta). Your use of those services is governed by their own terms and privacy policies, and Felix acts only within the permissions you grant.
You represent that you have the right to connect each account and to authorize Felix to access and act on the data within it. You may disconnect any service at any time, which revokes Felix's ongoing access to it. We are not responsible for the availability, accuracy, or practices of third-party services.
Felix uses AI models to generate drafts, replies, analyses, and other output. AI output can be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for reviewing output before it is sent or relied upon, particularly where you have enabled autonomous actions.
The Services are a tool to assist your operations and do not constitute legal, financial, tax, or other professional advice. You retain final responsibility for all communications and decisions made through the Services.

As between you and us, you retain all rights to the data you provide or that Felix accesses on your behalf ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Services and as described in our Privacy Policy.
You are responsible for the accuracy and legality of Your Data and for having the necessary rights and consents for us to process it in connection with the Services.
Certain features of the Services may require payment of fees. Applicable fees, billing terms, and any usage-based charges will be presented to you before you incur them. Unless stated otherwise, fees are non-refundable except as required by law. We may change our fees on prospective notice.
The Services, including all software, models, interfaces, and content we provide (excluding Your Data), are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms. All rights not expressly granted are reserved.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI output will be accurate or reliable.
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months preceding the claim, or one hundred U.S. dollars (US$100).
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Data, your use of the Services, or your violation of these Terms or applicable law.
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Services or other users.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and indemnification — will survive.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in California for any dispute not subject to arbitration or small-claims resolution, and to venue in those courts.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
